This is a convenience translation. The German version is the legally binding version.
These Terms and Conditions govern the use of the domain trading platform DomainHeld.de (hereinafter the "Platform"). They apply to all users who register on the Platform or make use of its services.
(1) Use of the Platform requires registration. The user undertakes to provide truthful and complete information.
(2) The user account is non-transferable. Each user is personally responsible for the security of their login credentials.
(1) Domains may be offered for sale or acquired via the Platform.
(2) DomainHeld.de acts solely as an intermediary and assumes no responsibility for the transactions between buyers and sellers.
(3) Buyers and sellers are themselves responsible for the legal review of any domain transaction.
(1) Use of the Platform may be subject to charges. Any applicable fees will be clearly stated before a transaction is concluded.
(2) Payments are processed via external payment service providers. DomainHeld.de accepts no liability for payment defaults.
(3) Direct payment: Payments can be processed directly via the payment service provider Stripe.
(4) Escrow payment: Optionally, the purchase can be handled via the independent escrow service Escrow.com (Escrow.com, Inc., USA). The buyer first pays the purchase price into escrow with Escrow.com; the funds are released to the seller only after the buyer has confirmed receipt of the domain. The terms of use of Escrow.com apply in addition to the escrow handling. The applicable escrow fee is borne by DomainHeld.de. The buyer selects the payment method before completing the purchase.
(5) Purchase on account: In individual cases we may offer entrepreneurs within the meaning of Section 14 of the German Civil Code (BGB) the option to buy a domain on account, i.e. to pay only after the transfer. There is no entitlement to this.
(6) For a purchase on account, the buyer places a binding order by signing the order confirmation sent to them and returning it to us (a scan or photo by email is sufficient). The contract is concluded when we send the auth code for the domain; the buyer receives the invoice together with the auth code.
(7) The purchase price is due immediately upon receipt of the invoice and must be paid without deduction to the account stated in the invoice within 7 calendar days of the invoice date at the latest. After this period the buyer is in default without any further reminder.
(8) In the event of default, the buyer owes default interest of nine percentage points above the base interest rate (Section 288 (2) BGB) and the lump sum for default of 40 euros (Section 288 (5) BGB). We reserve the right to claim further damages, in particular legal costs.
(9) In addition, for each week or part of a week of payment default the buyer owes a contractual penalty of 1 % of the gross purchase price, up to a maximum of 5 % of the gross purchase price in total. The contractual penalty is credited against any damages owed because of the default.
(10) Until payment has been made in full, the buyer may not transfer the domain to third parties. If the buyer still does not pay after a reasonable grace period, we may withdraw from the contract. The buyer is then obliged to transfer the domain back to us without delay, to cooperate in all steps required for this (in particular to hand over the auth code) and to pay reasonable compensation for the period of use.
(1) Users may not offer any domains that are unlawful or contrary to public policy and accepted principles of morality.
(2) Use of the Platform for illegal or fraudulent purposes is prohibited.
(3) Breaches of these provisions may result in the suspension or deletion of the user account.
(1) DomainHeld.de shall not be liable for any damages arising from the use or unavailability of the Platform.
(2) We provide no warranty as to the availability, accuracy or lawfulness of the domains offered.
The processing of personal data is carried out in accordance with our Privacy Policy.
We reserve the right to amend these Terms and Conditions at any time. The current version is available on the Platform at all times.
(1) The law of the Federal Republic of Germany shall apply.
(2) Should individual provisions of these Terms and Conditions be invalid, the validity of the remaining provisions shall remain unaffected.
